This End-User Licence Agreement (“Agreement”) is a legal agreement between the person or organisation authorized to use ProductSync (“User”, “you” or “your”) and iVUE360 Imaging, the developer and operator of ProductSync (“we”, “us” or “our”).
By installing, accessing, connecting to or using ProductSync, you confirm that you have read, understood and agreed to this Agreement. If you use ProductSync on behalf of an organisation, you confirm that you are authorized to bind that organisation to these terms.
1. Acceptance of This Agreement
You may use ProductSync only if you accept this Agreement and comply with all applicable laws, third-party platform requirements and authorized business policies.
If you do not agree to this Agreement, you must not install, access, connect to or use ProductSync.
2. Licence Grant
Subject to this Agreement, iVUE360 Imaging grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to use ProductSync for authorized internal business purposes.
The licence applies only to approved users, environments, accounts and connected systems. ProductSync may currently be restricted to private internal use and may not be made available to unauthorized third parties.
3. Permitted Use
You may use ProductSync to:
- Retrieve product information from supplier systems that you are authorized to access
- Validate, classify, map and prepare product catalogue information
- Create or update authorized records in supported destination systems
- Review synchronization results, changes, errors and validation outcomes
- Export authorized business data for legitimate internal purposes
You are responsible for ensuring that your use of ProductSync, supplier data and destination systems is properly authorized.
4. Restrictions
You may not:
- Copy, sell, rent, lease, sublicense, distribute or commercially exploit ProductSync without written permission
- Reverse engineer, decompile, disassemble or attempt to discover ProductSync source code, except where such a restriction is prohibited by applicable law
- Remove or alter copyright, trademark, attribution, security or proprietary notices
- Bypass authentication, access controls, usage restrictions or security mechanisms
- Use ProductSync to access systems or information without proper authorization
- Upload or transmit malware, malicious code or content designed to disrupt a connected system
- Use ProductSync in a way that infringes another party’s intellectual property, privacy or contractual rights
- Misrepresent ProductSync as your own software or imply an unauthorized partnership or endorsement
5. Accounts, Credentials and Security
You are responsible for protecting usernames, access tokens, refresh tokens, API credentials and other authentication information associated with your use of ProductSync.
You must promptly report suspected unauthorized access, credential exposure or security incidents affecting ProductSync or a connected account.
You may not share access with an unauthorized person or use another person’s or organisation’s credentials without permission.
6. Business Data and User Responsibilities
You retain responsibility for the business data you authorize ProductSync to process and for determining whether that data may lawfully and contractually be used.
ProductSync is designed to preserve supplier information, apply validation controls and make significant changes understandable. However, automated processing cannot replace appropriate business review.
You are responsible for:
- Confirming supplier-data access rights
- Reviewing product descriptions, categories and pricing
- Approving mappings and destination settings
- Maintaining appropriate backups and records
- Confirming the accounting and commercial effect of destination-system changes
7. Third-Party Services and Integrations
ProductSync may connect to third-party services such as supplier APIs, websites, QuickBooks Online, eCommerce platforms and other business systems.
Third-party services are independently operated and remain subject to their own terms, policies, availability, technical requirements and fees.
We do not control and are not responsible for:
- Third-party service availability or performance
- Changes to third-party APIs, feeds or data structures
- Supplier-data accuracy, completeness or legality
- Third-party account restrictions or suspensions
- Third-party security incidents or service decisions
ProductSync functionality may be reduced, interrupted or discontinued if a required third-party service changes or becomes unavailable.
8. Intellectual Property
ProductSync, including its software, source code, interface, workflows, architecture, documentation, branding, graphics and related materials, is owned by or licensed to iVUE360 Imaging and is protected by applicable intellectual property laws.
Supplier and third-party names, logos, trademarks and data remain the property of their respective owners. Their appearance within ProductSync does not transfer ownership or create an endorsement.
9. Updates, Changes and Availability
ProductSync may be updated, modified, suspended or discontinued at any time to improve functionality, address security matters, comply with platform requirements or respond to operational needs.
Updates may change features, integrations, workflows or technical requirements. Continued use after an update may require acceptance of revised terms.
We do not guarantee uninterrupted or error-free availability, particularly while ProductSync remains under active development.
10. Confidentiality
Where ProductSync, its documentation, credentials, internal architecture or related materials are provided on a private or restricted basis, you must treat them as confidential and use them only for the authorized purpose.
Confidential information may not be disclosed to an unauthorized third party without prior written permission, except where disclosure is required by law.
11. Privacy and Data Protection
Personal and business information processed through ProductSync is handled in accordance with the ProductSync Privacy Policy and applicable data-protection obligations.

12. Warranty Disclaimer
To the fullest extent permitted by applicable law, ProductSync is provided on an “as is” and “as available” basis.
We do not warrant that ProductSync will:
- Be uninterrupted, error-free or completely secure
- Meet every user or business requirement
- Detect or correct every supplier-data or destination-data issue
- Remain compatible with every third-party service or future platform change
- Produce results suitable for reliance without user review
Nothing in this Agreement excludes a warranty or right that cannot lawfully be excluded.
13. Limitation of Liability
To the fullest extent permitted by applicable law, iVUE360 Imaging and its personnel will not be liable for indirect, incidental, special, consequential or punitive loss, including loss of profit, revenue, opportunity, goodwill, data or business interruption arising from or related to ProductSync.
You remain responsible for reviewing and approving data changes, maintaining backups and evaluating the effect of synchronized information on your business systems.
Where liability cannot lawfully be excluded, it will be limited to the maximum extent permitted by applicable law.
14. Indemnity
To the extent permitted by law, you agree to indemnify and hold iVUE360 Imaging harmless from claims, losses, costs or liabilities arising from:
- Your unauthorized or unlawful use of ProductSync
- Your breach of this Agreement
- Data, instructions or credentials supplied by you
- Your infringement of another party’s rights
15. Suspension and Termination
We may suspend or terminate access to ProductSync if:
- You breach this Agreement
- Use creates a security, legal or operational risk
- A required third-party authorization is withdrawn
- The application or integration is discontinued
- Suspension is reasonably necessary to protect data or systems
You may stop using ProductSync at any time and may request disconnection of authorized integrations.
On termination, the licence granted under this Agreement ends immediately. Provisions intended by their nature to survive termination—including ownership, confidentiality, disclaimers and limitations of liability—will continue to apply.
16. Governing Law and Disputes
This Agreement is governed by the laws of the Republic of South Africa, without regard to conflict-of-law principles.
The parties will first attempt in good faith to resolve a dispute through direct discussion. If the dispute cannot be resolved, it will be submitted to a court with competent jurisdiction in South Africa, unless applicable law requires otherwise.
17. General Terms
If any provision of this Agreement is found invalid or unenforceable, the remaining provisions will continue in effect.
Failure to enforce a provision is not a waiver of that provision or any other right.
You may not assign or transfer this Agreement without prior written permission. We may assign this Agreement as part of a restructuring, transfer or sale of ProductSync or the relevant business.
This Agreement, together with the ProductSync Privacy Policy and any written service-specific terms, forms the entire agreement concerning your authorized use of ProductSync.
18. Protection of Personal Information Act
Where applicable, personal information processed through ProductSync must be handled in accordance with the Protection of Personal Information Act, 2013 (Act No. 4 of 2013) (“POPIA”) and other applicable privacy and data-protection legislation.
Where a User determines what personal information is processed, why it is processed and which systems receive that information, the User remains responsible for establishing an appropriate lawful basis for the processing and for complying with its obligations as the responsible party under POPIA.
Where ProductSync processes personal information on behalf of a User, ProductSync will process that information only for the authorized purpose and in accordance with the User’s lawful instructions, subject to applicable legal and security requirements.
The User is responsible for:
- Ensuring that personal information supplied to ProductSync was collected lawfully and for a defined purpose
- Obtaining any consent, permission or other lawful authority required for the processing
- Keeping personal information accurate, complete and relevant
- Limiting access to authorized users and connected systems
- Applying appropriate retention, deletion and security controls
- Responding to lawful requests made by data subjects
Suspected loss, unauthorized access, disclosure or compromise of personal information must be reported promptly so that the affected parties can assess and fulfil any applicable notification obligations.
19. Changes to This Agreement
We may update this Agreement to reflect changes to ProductSync, third-party integrations, security practices, legal requirements or business operations.
The latest version will be published on this page. The document version, effective date and last updated date will be revised when material changes are made.
